Os limites à capacidade das sociedades comerciais

Abstract

Na presente dissertação irá ser abordada a temática da capacidade das sociedades comerciais, partindo, naturalmente, do disposto no actual Código das Sociedades Comerciais. De acordo com a nossa interpretação, este não confere uma plena capacidades às sociedades comerciais; estas vêem os seus actos limitados em função do seu fim (lucrativo). Por esse motivo, são sempre duvidosos os casos de prestação de garantias por sociedades comerciais a outras entidades. A este respeito, analisaremos com mais detalhe o regime constante no artigo 6/3 CSC, nomeadamente o significado dos conceitos lá referidos: justificado interesse próprio, relações de domínio e relações de grupo.

The present dissertion will adress the issue of commercial companies capacity, beginning with the study of the Commercial Companies Code in force. According to our interpretation, this Code does not assign a full capability to commercial companies; they see their actions limited by their (profitable) aim. For this reason, the cases of guarantees provided by commercial companies to other entities, are always dubious. In this regard, we will analyze in more detail the rules stated in Article 6-3 CSC, including the meaning of the concepts there referred: the justified interest of the assuring company, the relationship of control and the groups of companies.
