O regime unificado da imputação de direitos de voto no CVM

Abstract

A imputação dos direitos de voto é uma matéria muito importante, e que ainda não está suficientemente estudada, sobretudo relativamente ao teor e divergências da lei portuguesa face às diretivas europeias sobre a matéria. A imputação dos direitos de voto está regulada no artigo 20.º e seguintes do Código de Valores Mobiliários, por ser relevante para as sociedades abertas e para o funcionamento eficiente dos mercados de capitais. Este trabalho estuda o regime português e faz a sua avaliação face às normas europeias, concordando com a existência de um regime unificado, mas propugnando pelo seu alargamento.

The attribution of voting rights is a very important matter, and that is not yet sufficiently studied, especially regarding the content and differences of Portuguese law against European directives on the matter. The attribution of voting rights is governed by Article 20 and following of the Portuguese Securities Code. It is very relevant to public companies and the efficient functioning of capital markets. This paper studies the Portuguese regime and makes its assessment against European standards, agreeing with the existence of a unified system, but advocating for its enlargement.
